Voyage Audio LLC – End-User License Agreement

IMPORTANT – PLEASE READ THIS LICENSE AGREEMENT BEFORE DOWNLOADING AND USING VOYAGE AUDIO LLC SOFTWARE.

By downloading and using Voyage Audio LLC software, you confirm your acceptance of the Voyage Audio LLC End User License Agreement and agree to the terms.

This End User License Agreement (“Agreement”) is between Voyage Audio LLC and you, an individual or business entity. By using Voyage Audio LLC software and any supporting content or documentation (referred to in this document as the “Product”) you accept these terms. The Voyage Audio LLC Product may be freeware or paid commercial software and may be distributed with software or components from third-parties (referred to in this document as “Third-Party Software” or “Suppliers”). Use of Third-Party Software is also subject to the terms of this EULA.

If you do not accept these terms, do not use the Product provided and remove it from your computer along with any related documentation. Any unauthorized use of the Product is strictly prohibited and subject to prosecution.

LIMITED LICENSE

The Product is licensed, not sold. The end user agrees to only use the Product as set forth in the Agreement. This Product, including all of its components and any additional files included with the distribution, is protected by copyright laws and international copyright treaties. The term of this license is perpetual, unless terminated under the conditions provided in the Agreement. Except as provided in the Agreement, you receive no rights to rent, lease, lend, copy, modify, market, transmit, reverse engineer, reverse compile, take apart, or disassemble the product, any component hereof, or any file provided with the distribution.

SUPPORT

Voyage Audio LLC and its Suppliers give NO warranty for Software free of charge, including Software designated as “demo”, “limited release,” “pre-release,” “loan,” “beta” or “test.” This Software is provided “AS IS.”

Voyage Audio shall give reasonable efforts to service any major commercial version of the Product including email support. Voyage Audio, at its sole discretion, may terminate support for any major or minor version of the Product at any time.

LIMITATION OF LIABILITY

VOYAGE AUDIO LLC AND ITS SUPPLIERS SHALL HAVE NO LIABILITY TO YOU.

DOWNLOADING AND USE OF THE PRODUCT IS DONE AT YOUR OWN RISK AND WHILE VOYAGE AUDIO LLC HAS TAKEN STEPS TO ENSURE YOUR PROTECTION, CANNOT BE HELD LIABLE IN ANY WAY FOR ANY DAMAGE, VIRUSES OR LOSS OF DATA THAT MAY OCCUR TO YOUR COMPUTER OR ANY OTHER EQUIPMENT WHEN USING THE PRODUCT.

VOYAGE AUDIO LLC AND ITS SUPPLIERS SHALL HAVE NO LIABILITY TO YOU IN CONTRACT, NEGLIGENCE OR PRODUCTS LIABILITY, FOR ANY CLAIM, LOSS, OR DAMAGE, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOSS OF USE, BUSINESS INTERRUPTION, LOST DATA, OR LOST FILES, OR FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND OR NATURE WHATSOEVER ARISING OUT OF OR IN CONNECTION WITH THE USE OF OR INABILITY TO USE THE SOFTWARE OR DOCUMENTATION, OR THE PERFORMANCE OR OPERATION OF THE SOFTWARE, EVEN IF VOYAGE AUDIO LLC OR ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE EXCLUSION OR LIMITATION MAY NOT APPLY TO YOU. IN NO EVENT SHALL VOYAGE AUDIO LLC’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE.

TERMINATION

As permitted by law, Voyage Audio LLC may terminate your license if you breach these terms and conditions.

THIRD PARTY SOFTWARE

This EULA governs any Third-Party Software distributed by Voyage Audio LLC. Voyage Audio LLC may include information about third party products and services, including links to Web sites run by others. Voyage Audio LLC is not responsible for, and does not endorse or sponsor, this third-party information.

VST is a trademark of Steinberg Media Technologies GmbH. AAX is a trademark of Avid Technology, Inc. Audio Units is a trademark of Apple Computer, Inc.

MISCELLANEOUS

This Agreement constitutes the entire agreement between the parties with respect to the use of the Product, and supersedes all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter. No amendment to or modification of this Agreement will be binding unless in writing and signed by a duly authorized representative of Voyage Audio LLC.

APPLICABLE LAW

This Agreement is governed by United States Law.
